1. Scope of Application
1.1. These General Terms and Conditions (AGB) apply to all contracts between Social Craft Agency, Neue Krugallee 150, 12437 Berlin and its clients.
1.2. Deviating or supplementary agreements require the written consent of the agency.

2. Scope of Services
2.1. The agency offers services in the areas of web design, UX design, and marketing. The specific scope of services is determined by the respective contract or offer.
2.2. Changes or extensions to the scope of services require a written agreement.

3. Client's Duty to Cooperate
3.1. The client shall provide all information, materials, and access necessary for the execution of the contract in a timely manner.
3.2. Delays caused by the client's late cooperation shall not be at the agency's expense.

4. Compensation and Payment Terms
4.1. The compensation is based on the agreed offer. All prices are exclusive of statutory VAT.
4.2. Payments are due within 14 days of invoicing without deduction.
4.3. In the event of payment default, the agency reserves the right to suspend or refuse further performance of services.

5. Usage Rights
5.1. The agency grants the client a simple usage right to the works created in the context of the contract. The rights are transferred to the client only after full payment of the compensation.
5.2. The agency remains the owner of all tools, concepts, and designs used in the project, unless expressly agreed otherwise in writing.

6. Warranty and Liability
6.1. The agency is liable only for intent and gross negligence.
6.2. Liability for lost profits, data loss, or indirect damages is excluded unless it is based on intentional breach of duty.
6.3. The client is obliged to inspect the services provided immediately after delivery and to report defects in writing within 7 days.

7. Duration of the Contract and Termination
7.1. The contract ends upon complete fulfillment of the agreed services.
7.2. Early termination is only possible for good cause. Services already rendered will be invoiced proportionally.

8. Confidentiality and Data Protection
8.1. Both parties commit to not disclose confidential information that becomes known during the collaboration to third parties.
8.2. The agency commits to comply with data protection regulations in accordance with GDPR.

9. Final Provisions
9.1. The law of the Federal Republic of Germany applies.
9.2. The place of jurisdiction for all disputes arising from the contractual relationship is Berlin, unless the client is a merchant.
9.3. Should any provision of these AGB be ineffective, the validity of the remaining provisions shall not be affected.
